Welcome to Periant LLC (“Periant,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website https://askperi.ai, our AI assistant (“Peri”), our business configuration platform (“Peri Studio”), and all related products, software, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. ELIGIBILITY

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using the Services, you represent that you meet this requirement and that all information you provide is accurate and up to date.

2. ABOUT PERIANT AND PERI

Periant provides AI-powered tools designed to help pet care businesses, animal welfare organizations, and pet owners manage pet-related inquiries, workflows, and operations. Our Services include:

(a) Peri Engage. An AI assistant that can be embedded on a business’s website to handle client inquiries, guide visitors through workflows, and surface relevant information. Peri Engage delivers responses based on content and configurations provided by the business.

(b) Peri Studio. A business-facing configuration platform that allows business customers (“Business Customers”) to upload documents, standard operating procedures, training materials, business policies, and other content (“Customer Materials”) to configure, train, and improve Peri’s responses for their specific business.

Peri aims to provide accurate and useful information but does not replace professional veterinary advice, diagnosis, or treatment. Always consult a licensed veterinarian or qualified pet care professional for medical or health decisions regarding your pets.

3. YOUR ACCOUNT

Certain Services may require you to create an account or provide information. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the confidentiality of your login credentials.
  • Accept responsibility for all activity under your account.

Periant reserves the right to suspend or terminate accounts that violate these Terms or misuse our Services.

4. ACCEPTABLE USE

You agree not to use our Services in ways that:

  • Violate any applicable laws or regulations.
  • Infringe or misappropriate the rights of others.
  • Interfere with or disrupt our Services or servers.
  • Attempt to reverse engineer, copy, or resell any part of our software or content.
  • Upload or transmit harmful code, spam, or misleading information.
  • Attempt to access another user’s account or data without authorization.

Periant reserves the right to monitor and restrict usage that violates these rules.

5. INTELLECTUAL PROPERTY

All content, trademarks, logos, software, and design elements on our website and within our Services are the property of Periant LLC or its licensors. You may not copy, reproduce, distribute, or create derivative works from our materials without prior written consent. You may use our Services solely for your personal or business use in accordance with these Terms.

6. USER CONTENT

If you submit data, text, images, or other materials (“User Content”) through our Services, you retain ownership of that content. By submitting it, you grant Periant a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your content as needed to operate and improve the Services.

You are responsible for ensuring that your User Content:

  • Does not violate the rights of others.
  • Is accurate, lawful, and appropriate for your intended use.
  • Does not include personal data of third parties unless you have the legal right to share it.

7. AI INTERACTIONS AND DATA USE

When interacting with Peri or other AI features of our Services, you understand and agree that:

(a) Storage and Analysis. Conversations, chat transcripts, and interactions with Peri may be stored, reviewed, and analyzed by Periant and its service providers.

(b) AI Training. Conversations and interaction data may be used to improve the accuracy, performance, and quality of the Services. Where such data is used for AI model training, it is anonymized and aggregated such that it cannot reasonably be traced back to any individual customer.

(c) No Guarantees. Outputs are generated based on available data and algorithms and may not always be accurate, complete, or error-free. You are responsible for evaluating information provided before relying on it. Periant does not guarantee the completeness, reliability, or suitability of AI-generated responses.

(d) No Professional Advice. AI-generated responses do not constitute veterinary, medical, legal, financial, or other licensed professional advice.

8. PERI STUDIO — BUSINESS CUSTOMER TERMS

This Section applies to Business Customers who access and use Peri Studio to upload Customer Materials and configure Peri for their business.

(a) Customer Materials Ownership. Business Customers retain ownership of all Customer Materials they upload to Peri Studio. Periant does not claim ownership of Customer Materials.

(b) License to Use Customer Materials. By uploading Customer Materials, Business Customers grant Periant a limited, non-exclusive, worldwide, royalty-free license to store, process, and use those materials to: (i) provide and operate the Services; (ii) configure and improve Peri’s responses for that Business Customer; and (iii) improve the performance of the Services, provided that where Customer Materials are used for AI model training, they are anonymized and aggregated such that they cannot reasonably be traced back to any individual Business Customer.

(c) Customer Responsibility. Business Customers represent and warrant that: (i) they have all rights necessary to upload and use Customer Materials through the Services; (ii) Customer Materials do not violate the rights of any third party; and (iii) if Customer Materials contain personal data of employees, clients, or other individuals, the Business Customer has a legal basis to share such data with Periant.

(d) Data Isolation. Periant takes reasonable technical measures to isolate Customer Materials by account. Periant does not use one Business Customer’s identifiable proprietary data in a way that would surface it in another Business Customer’s Peri responses.

(e) Data Deletion. Business Customers may request deletion of their Customer Materials in accordance with our Privacy Policy. Periant will process such requests within a reasonable time. Note that derived learnings incorporated into general AI model improvements may not be individually reversible.

(f) Security. Periant uses commercially reasonable administrative, technical, and physical safeguards to protect Customer Materials from unauthorized access or disclosure. However, no system is completely secure and Periant cannot guarantee absolute security.

(g) Subscription Agreement. Business Customers’ use of Peri Studio is also governed by the Periant Customer Subscription Agreement and any applicable Order Form, each incorporated by reference. In the event of conflict, the Customer Subscription Agreement controls.

9. PAYMENT AND SUBSCRIPTIONS

If you purchase or subscribe to paid Services:

  • You agree to provide accurate billing information and authorize all applicable charges.
  • Fees are non-refundable unless required by law or otherwise stated in a written agreement.
  • Subscription terms, renewal options, and cancellation policies are described in your Order Form or at the point of purchase.

Periant reserves the right to update pricing with prior notice as described in your subscription agreement.

10. DISCLAIMER OF WARRANTIES

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PERIANT DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR EXPECTATIONS. YOU USE THE SERVICES AT YOUR OWN RISK.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PERIANT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ERRORS OR INACCURACIES IN AI OUTPUTS, OR UNAUTHORIZED ACCESS TO OR USE OF YOUR INFORMATION. IN NO EVENT SHALL PERIANT’S TOTAL LIABILITY EXCEED TWO TIMES THE AMOUNT YOU PAID (IF ANY) FOR USE OF THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Periant, its affiliates, and personnel from any claims, damages, liabilities, or expenses arising out of your: (i) use of the Services; (ii) violation of these Terms; or (iii) infringement of any rights of a third party. Periant agrees to indemnify and hold harmless Customer from any third-party claims alleging that the Services, as provided by Periant, infringe any third-party intellectual property right

13. TERMINATION

We may suspend or terminate your access to our Services immediately for cause, including for violations of these Terms. Termination without cause requires at least thirty (30) days' prior written notice to Customer. Upon termination, your right to use the Services will cease immediately. Sections regarding intellectual property, AI data use, limitation of liability, indemnification, and governing law survive termination.

14. GOVERNING LAW

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located within that state.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our business or applicable law. Updated versions will be posted on this page with the “Last Updated” date revised. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
